ArChat® — Terms and Conditions of Use
Please read these Terms and Conditions of Use (“Terms”) carefully before accessing or using ArChat (“Service” or “ArChat”). By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance and Eligibility
These Terms constitute a legally binding agreement between you (“User”, “you” or “your”) and Aldo Alberto Frias (or the legal entity operating ArChat, “we”, “us” or “ArChat”), located in Mar del Plata, Argentina.
You represent and warrant that:
- You are at least 18 years old (or the age of majority in your jurisdiction).
- You have the full legal capacity to enter into these Terms.
- All information you provide is accurate, complete, and truthful.
We may suspend or terminate your account immediately if we discover any false information or breach of these Terms.
2. Description of the Service
ArChat is a multi-tenant SaaS communication and messaging platform that includes real-time messaging, file sharing, presence indicators, user profiles, team management, and administrative dashboards.
Translation services (third parties): ArChat does not perform translations itself. The Service integrates or exposes automatic translation and related language features by connecting to independent third-party translation and language technology services. ArChat is not the author of those translations. They are provided for convenience only, may be incomplete or inaccurate, and must not be relied upon alone for legal, medical, financial, or safety-critical decisions. You are solely responsible for verifying the accuracy and appropriateness of any translated content in your context.
Important disclaimers:
- ArChat acts solely as a technology provider and is not a party to any communication, contract, employment relationship, or agreement between users or organizations.
- ArChat is not an emergency service and must not be used for life-threatening or urgent situations. Use official emergency channels instead.
3. Accounts, Tenants, and Security
Each organization uses a separate tenant environment. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account or tenant.
- Ensuring that users you invite comply with these Terms.
We may suspend or terminate accounts for security risks, suspected fraud, non-payment, abuse, or legal requirements.
4. Plans, Pricing, and Commercial Terms
ArChat offers Free, Foundation, PRO, and other plans. Current pricing, features, limits (messages, storage, users, etc.), and currencies are published on our website or pricing page at the time of purchase.
All paid plans are subject to the terms published at the moment of subscription and to the terms of the payment processor(s) officially designated by ArChat from time to time.
We reserve the right to modify prices or limits with reasonable prior notice (via email or in-app notification). Continued use after the effective date constitutes acceptance of the new terms.
5. Subscriptions, Billing, and Cancellation
Paid subscriptions renew automatically on a monthly basis unless cancelled.
You may cancel your subscription at any time through your account settings. Cancellation stops future renewals, but:
- You remain responsible for any outstanding payments.
- No prorated refunds are issued for partially used periods, unless required by mandatory local law or a specific promotion.
Cancelling a subscription does not automatically delete your account or data. Data deletion is governed by our Privacy Policy.
6. Payments and Third-Party Processors
Payments are processed through one or more third-party payment processors designated by ArChat from time to time (which may include, without limitation, processors such as Paddle as currently used where applicable). ArChat may add, change, or replace designated processors; we will notify you when required by applicable law or contract. We do not store full payment card details on ArChat systems.
You agree to comply with the then-current terms of the applicable payment processor(s). We are not responsible for delays, rejections, chargebacks, or decisions made by the payment processor or your financial institution.
Taxes (VAT, GST, etc.) are calculated and charged according to applicable law and your billing information.
7. Refunds and Chargebacks
Refunds are not provided for partially used subscription periods, except where required by mandatory consumer protection laws in your jurisdiction or as part of a specific promotional offer.
Any chargeback or payment dispute may result in immediate suspension of your account until resolved. For our full refund rules, see the Refund Policy.
8. Service Availability and Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied.
We do not guarantee uninterrupted access, error-free operation, or that the Service will meet your specific requirements. Maintenance, updates, or third-party failures may cause temporary unavailability.
We rely on third-party providers for infrastructure, translation services, storage, and other services. We are not liable for failures caused by such providers beyond our reasonable control.
9. User Content and Intellectual Property
You retain ownership of the content you upload or transmit through ArChat (“User Content”).
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and translate (when applicable via third-party services) your User Content solely as necessary to provide and improve the Service.
You are solely responsible for ensuring that your User Content does not infringe third-party rights or violate any laws.
We may remove or block content that violates these Terms or upon valid legal request.
10. Prohibited Uses
You agree not to:
- Use the Service for spam, phishing, fraud, harassment, or illegal activities.
- Attempt to reverse engineer, decompile, or circumvent technical limitations.
- Exceed plan limits through automation or abuse.
- Upload content that is defamatory, obscene, or infringes intellectual property rights.
- Use the Service in any way that could damage our reputation or infrastructure.
Violation may result in immediate suspension or termination without refund.
11. Feedback and Suggestions
Any feedback, ideas, or suggestions you provide may be used by ArChat freely and without compensation or attribution.
12. Privacy and Data Protection
Your privacy is governed by our Privacy Policy, which is incorporated by reference.
We process personal data in accordance with applicable laws (including Argentina’s Personal Data Protection Law, GDPR where applicable, and others). By using ArChat, you consent to the collection, processing, and international transfer of data as described in the Privacy Policy.
We implement reasonable security measures but do not guarantee absolute security.
13. Indemnification
You agree to indemnify, defend, and hold harmless ArChat, its owner, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms or any applicable law.
14. Limitation of Liability
To the maximum extent permitted by law, ArChat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.
ArChat’s total cumulative liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of:
- (a) the total amount you actually paid to ArChat in the twelve (12) months preceding the claim; or
- (b) USD 500.
This limitation applies even if we have been advised of the possibility of such damages. Nothing in these Terms excludes liability for death, personal injury, or fraud where prohibited by law.
15. Modifications to the Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days in advance when possible.
Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must cancel your subscription and stop using the Service.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Argentina, without regard to conflict of laws principles.
Any dispute arising from these Terms shall be submitted exclusively to the competent courts of Mar del Plata, Province of Buenos Aires, Argentina, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
17. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.
These Terms (together with the Privacy Policy and any Acceptable Use Policy) constitute the entire agreement between you and ArChat.
